1. Acceptance of Terms

By accessing or using any websites of DeepFabric, also and formerly known as Time.dev (the "Service"), which is owned and operated by UnPlatforms, Inc. (collectively, "us", "we" or "the Company"), you signify that you have read, understood, and agree to be bound by these Terms of Service (this "Agreement"), whether or not you are a registered user of our Service. This Agreement applies to all visitors, users, and others who access the Service ("Users").

Please read this Agreement carefully. If you do not agree to all the terms and conditions of this Agreement, then you may not access the Website or use any of our Services.

This Agreement applies to all Users of the DeepFabric Service. Information provided by our Users through the DeepFabric Service may contain links to third-party websites that are not owned or controlled by UnPlatforms, Inc. UnPlatforms, Inc. has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites.

This Agreement is effective as of July 14th.

2. User Account Registration and Management

In order to use some parts of the Service, you must register for an account with us (an "Account") or use the Service as a guest. You must provide current, accurate, complete, and true identification and other information about yourself during the registration process, and maintain and promptly update this information to keep it current, accurate, complete, and true.

You are solely responsible for the activity that occurs on your Account, and for keeping your Account secure. You are not allowed to use another User's Account without permission. You must notify us immediately of any breach of security or other unauthorized use of your Account. You should never publish, distribute, or post login information for your Account.

By providing us with your email address, you consent to our using the email address to send you Service-related notices, including among other things notices required by law, in lieu of communication by postal mail. We may also use your email address to send you other messages, such as changes to features of the Service and special offers.

3. Limitations on User Conduct on the DeepFabric Service

Unless the law expressly prohibits these limitations, or we have explicitly given you written permission to do otherwise, you are not permitted to:

  • Upload, post, publish, submit, or transmit any User Content that: (i) infringes, misappropriates, or violates a third party's patent, copyright, trademark, trade secret, moral rights, or other intellectual property rights, or rights of publicity or privacy; (ii) contravenes, or encourages any behavior that would contravene, any applicable law or regulation or would lead to civil liability; (iii) is fraudulent, false, misleading, or deceptive; (iv) is defamatory, obscene, pornographic, vulgar, or offensive; (v) promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group; (vi) is violent or threatening or promotes violence or actions that are threatening to any person or entity; or (vii) promotes illegal or harmful activities or substances.

  • Duplicate, decompile, reverse engineer, disassemble, or decode the DeepFabric Service (including any underlying idea or algorithm), or attempt to do any of the same.

  • Access or use the DeepFabric Service in a way that could disable, overburden, damage, disrupt or impair the Service or interfere with any other party's access to or use of the Service or use any device, software, or routine that causes the same.

  • Exceed any fair usage limits as determined by DeepFabric in its sole discretion, including excessive data storage or other overuse of the Service.

  • Attempt unauthorized access to the Service, accounts registered to other users, or the computer systems or networks connected to the Service.

  • Circumvent, alter, deactivate, degrade, or thwart any technological measure or content protections of the DeepFabric Service.

  • Use any robot, spider, crawlers, or other automatic device, process, software, or queries that intercepts, "mines," scrapes or otherwise accesses the Service to monitor, extract, copy or collect information or data from or through the Service, or engage in any manual process to do the same.

  • Introduce any viruses, Trojan horses, worms, logic bombs or other materials that are malicious or technologically harmful.

  • Use the DeepFabric Service for illegal, harassing, unethical, or disruptive purposes.

  • Violate any applicable law or regulation in connection with your access to or use of the DeepFabric Service.

  • Access or use the DeepFabric Service from any country or region subject to a comprehensive U.S. embargo.

  • Access or use the DeepFabric Service in any way not expressly permitted by these Terms.

4. User Accounts

You are responsible for the confidentiality of your account credentials, including but not limited to, ensuring the secure usage of your computer and/or account. Sharing of your User login credentials or password is not permitted. You are required to accept responsibility for all activities or actions that transpire under your account. It is mandatory for you to notify us immediately upon becoming aware of any security breach or unauthorized access to your account.

You are prohibited from using the name of another individual or entity as a username if it is not lawfully available, or any name or trademark that is subject to the rights of any other person or entity other than you, without proper authorization. Usernames that are offensive, vulgar, or obscene are strictly not permitted.

The use of the DeepFabric Service is not permitted for users aged 13 years or younger. By using the Service, you declare and guarantee that you are over the age of 13.

5. Workspaces

User Content uploaded, posted, or modified by users on the Service is organized into separate sections, referred to as "Workspaces."

There are two primary types of Workspaces available on the DeepFabric Service:

  • "Personal Workspaces" are solely administered by the user who created the Workspace and can only be accessed by this user and any permitted guest users, subject to additional conditions regarding Personal Workspaces created using an Organization Email.

  • "Organizational Workspaces" require an eligible Subscription and can be accessed by multiple users. Detailed information on Organizational Workspaces is outlined below.

Within the Service, you can work across multiple Workspaces simultaneously, allowing your single account access to your Personal Workspace(s) and your employer's Organizational Workspace. Workspaces are completely independent, and linking Content between them is not possible (although you can transfer Content from one Workspace to another). The Service also provides a tool for exporting your User Content from your Workspaces for use outside of the Service, available on our online account management page.

Users who join an Organizational Workspace agree that their account data and User Content created within that Workspace may be shared with that Organization, and can be accessed, modified, or deleted by the Workspace owner or administrator. Furthermore, you acknowledge and agree that if you register for the DeepFabric Service using an email address provided by an Organization ("Organization Email"), you consent to such Organization being able to view information about any Workspace you create or administrate, including a list of Workspace members, guests, and Content. The Organization may have the ability to manage your Workspace, including claiming control and ownership of any Workspace you create or administrate, including any Content within such Workspaces.

If you join an Organizational Workspace, your usage must comply with the Organization's policies and any agreement you may have with that Organization. Organizational Workspaces are under the control of the respective Organization. Organization administrators may access, disclose, restrict, or remove Content from the Organizational Workspace. They can also restrict or terminate your access to the Organizational Workspace. If you convert an existing Personal Workspace into an Organizational Workspace or share or transfer content to an Organizational Workspace, your administrator(s) may prevent you from subsequently dissociating Content from the Organizational Workspace.

6. DeepFabric AppStore and Non-DeepFabric Services; Templates; DeepFabric API

We may make Non-DeepFabric Services and Templates available to you through the Marketplace.

"AppStore" refers to any DeepFabric managed online directory where Templates, applications, or integrations that interoperate with the Services are made accessible to users, including any collection of Templates, whether user-generated or DeepFabric-created, that are available through a shared interface within the Service.

"Non-DeepFabric Service" refers to any third-party service, connection, Template, software, application, or integration that interoperates with the Service provided or made available by the Customer or a third party, including those provided through the Gallery or a third party.

"Template" refers to any pre-configured version of the Service made available for download, purchase, or use. Templates may be made available through the Template Library or AppStore by DeepFabric or may be made available by third parties through the Gallery or third-party websites. If a Template is created and maintained by DeepFabric, it is a DeepFabric Template. If a Template is provided by a third party, such Template is a Non-DeepFabric Service.

If you decide to enable, access, or use Non-DeepFabric Services, your access and use of such Non-DeepFabric Services shall be exclusively governed by your agreement with the provider of the Non-DeepFabric Services. Further, by enabling such Non-DeepFabric Services, you authorize DeepFabric to transfer your User Content and your account information in accordance with the functionality of such Non-DeepFabric Services.

DeepFabric does not warrant or support Non-DeepFabric Services. The Services may contain features designed to interoperate with Non-DeepFabric Services, including through the AppStore. DeepFabric cannot guarantee the continued availability of such features or any Non-DeepFabric Services, and DeepFabric may cease providing Non-DeepFabric Services or the AppStore (or any features of or listings within the AppStore), without prior notice to you, if, for example and without limitation, the provider of a Non-DeepFabric Service ceases to make the Non-DeepFabric Service available for interoperation with the corresponding Service features in a manner acceptable to DeepFabric. You acknowledge and agree that DeepFabric has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or Non-DeepFabric Services. We do not warrant the offerings of any of these entities or individuals or their websites.

You acknowledge and agree that DeepFabric shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or Non-DeepFabric Service(s).

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or Non-DeepFabric Services that you visit or interact with.

DeepFabric may offer an application programming interface that provides additional ways to access and use the Service ("API"). Such API is considered a part of the Service, and your use of the API is subject to these Terms. Further, your use of the API is subject to DeepFabric's then-current Developer Terms, as may be updated by DeepFabric in its sole discretion from time to time. We reserve the right at any time to modify or discontinue your access to the API (or any part of it) with or without notice. The API is subject to changes and modifications, and you are solely responsible to ensure that your use of the API is compatible with the current version.

7. User Obligations and Conduct

As a user of the DeepFabric platform, you are responsible for maintaining the confidentiality of your account and password. This includes but is not limited to the restriction of access to your device and/or account. It is prohibited to share your User login or password with others. You accept responsibility for any and all activities or actions that occur under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

Your username should not infringe on the rights of another person or entity. It must be legally available for use, and not represent a name or trademark subject to any rights of another person or entity other than you, without appropriate authorization. Offensive, vulgar or obscene usernames are prohibited.

Users under the age of 13 are not permitted to use the Service. By using the Service, you represent and warrant that you are over the age of 13.

On the DeepFabric platform, you have access to numerous productivity features such as project management, note-taking, scheduling and many more. Any content you create in relation to these features is subject to our terms and guidelines. You may not use our platform to publish or share content that is illegal, offensive, or harmful. You also agree not to use our platform to harass, abuse, stalk, or harm another person, or in a way that invades someone's privacy or is (in our reasonable opinion) offensive or unacceptable.

Respect the rights of others when using our platform and do not engage in activities that violate the rights of others. This includes, but is not limited to, posting content that infringes on any patent, trademark, trade secret, copyright, right of publicity, or other rights of any party.

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates these terms, including without limitation, removing the offending content from the Service and terminating the accounts of such violators.

It's important to keep in mind that the content created and shared by users on the DeepFabric platform does not reflect the views or opinions of DeepFabric. We cannot oversee every piece of content posted on our platform and we cannot ensure the accuracy, integrity, or quality of that content.

Always remember to use DeepFabric responsibly and respect others on the platform

8. Content Ownership and Licensing

Distinguishing Content Types: Within the context of these terms, there are two categories of content. The first, "DeepFabric Content," refers to all the elements such as text, graphics, software, audio-visual materials, and other resources generated or made available by DeepFabric or its licensors. The second category, "User Content," pertains to the content you generate or provide while using our Services. This can range from notes, to-do lists, project management data, schedules, and any other productivity-related content. Collectively, these two categories are referred to as "Content."

Clarification on Content Ownership: At DeepFabric, we respect your intellectual property rights and do not claim any ownership over the User Content you generate. These Terms in no way intend to curtail your rights to use and exploit your User Content. However, this understanding doesn't diminish DeepFabric's and its licensors' exclusive ownership over the Service and DeepFabric Content. This ownership includes all intellectual property rights tied to our service and content. By accessing and using our services, you acknowledge that our content and services are protected by United States and international copyright, trademark, and other proprietary rights laws. You must not tamper with, remove, or obscure any copyright, trademark, or other proprietary rights notices embedded in our Service or DeepFabric Content.

Your Grant of Rights in User Content: By choosing to make any User Content available through our Services, you grant DeepFabric a non-exclusive, transferable, royalty-free license with the rights to sublicense. This license permits us to use, host, cache, store, reproduce, transmit, display publicly, perform publicly, distribute, and format (strictly for the purpose of compatibility with our Services) your User Content. This is primarily for providing, operating, and improving our Service and making DeepFabric Content available to you and, depending on the permissions you grant, to other users. Despite the granting of this license, you retain any and all ownership rights over your User Content.

Your User Content Responsibilities: You, as a user, bear sole responsibility for all your User Content. You affirm that you either own your User Content or have all the necessary rights to grant us the license rights to your User Content under these Terms. Further, you confirm that neither your User Content nor your provision of it through our Service or any use of your User Content by DeepFabric through our Service will violate third-party intellectual property rights, or rights of publicity or privacy, or breach any applicable law or regulation, or infringe any agreement you have with any third party.

User Content Deletion: You retain the ability to delete User Content that you have classified as private. Please be aware, however, that some remnants of your User Content might not be fully removable and residual copies might continue to exist within the Service. More information regarding the removal and retention of User Content can be found in Section 15 (Termination) of these Terms.

License Granted by DeepFabric: As long as you comply with these Terms, DeepFabric provides you a limited, non-exclusive, and non-transferable license, devoid of any rights to sublicense. This license permits you to download, view, copy, display, and print the DeepFabric Content, but only in accordance with your permitted use of the Services and strictly for your personal and non-commercial objectives.

Content Use Policy and Monitoring Content: You consent to align your use of the Service and all User Content with the DeepFabric Content & Use Policy. While we are not obligated to actively monitor your access or usage of the Service, Content, or review or edit any Content, we reserve the right to do so for the purpose of operating the Service, ensuring adherence to these Terms, and complying with applicable laws or other legal mandates. We hold the discretionary right to remove or disable access to any Content, including User Content, at any time and without prior notification. This is especially the case if we consider any Content to be objectionable or in violation of these Terms, based on our sole discretion. We maintain the right to investigate any violations of these Terms or any conduct that impacts the Services. We may also consult and collaborate with law enforcement authorities to prosecute users who infract the law.

Amendment to User Content Rights: By sharing any User Content via our Services, you are providing DeepFabric a non-exclusive, transferable, royalty-free license, inclusive of the right to sublicense. This license enables us to use, host, cache, store, reproduce, transmit, publicly display, publicly perform, distribute, and reformat your User Content (for the sole purpose of ensuring compatibility with our Services). This activity primarily supports the provision, operation, and enhancement of our Service, as well as the availability of DeepFabric Content to you and, contingent upon the permissions you afford, other users. In addition to the operational implications, this license permits us to leverage your User Content in a myriad of ways to enrich user experience and improve service delivery. Despite this provision, the ownership rights of your User Content remain firmly in your hands.

9. Fees and Potential Adjustments

At any given moment and of its own accord, DeepFabric holds the right to amend the Subscription Fees tied to the Subscriptions, which may include supplementary features. Such amendments to the Subscription Fees will come into effect following the end of the present Billing Cycle.

DeepFabric will furnish you with an appropriate amount of advance notice regarding any changes to the Subscription Fees. By continuing to utilize the Service, you signify your agreement to honor the revised Subscription Fees.

The stated Subscription Fees do not account for any taxes or analogous governmental assessments of any sort, such as value-added, sales, usage or withholding taxes, levied by any jurisdiction (collectively referred to as “Taxes”). You bear the responsibility for the payment of all Taxes associated with your Subscription, excluding those taxes based on our net income. In case any payment for the Service incurs withholding tax by any government, you are obliged to compensate us for such withholding tax.

10. Trial Period

On its own volition, DeepFabric may offer a Subscription that includes a trial period without any charge for a finite duration ("Free Trial"). As a Free Trial subscriber, you hold the right to cancel at any moment up until the final day of your Free Trial by adhering to the cancellation procedures elucidated in the Subscription section of these Terms. In the event of you or DeepFabric cancelling your Free Trial, you acknowledge and consent to the potential deletion of all your User Content or data linked to the Workspace allocated to your Free Trial. If you abstain from cancelling your Free Trial, your Free Trial will transition into a paid Subscription at the culmination of the trial period, and you thus authorize us to levy charges on your credit card or other chosen payment method for continued usage of the paid Service under this Subscription. Thereafter, your Subscription may be cancelled in alignment with Section 6 (Subscription) of these Terms.

Without prior notification, DeepFabric retains the right to (a) modify the terms and conditions of any Free Trial offer; (b) terminate any Free Trial offer; or (c) cancel any Free Trial Subscription at any given time.

11. Policy on Refunds

The obligation to make payments is irrevocable, and any fees rendered are non-refundable, with no provision for credits in the case of partially used Subscription periods.

12. Subscription and Payment Terms

Our platform, DeepFabric, offers various subscription plans to cater to the diverse needs of our users. The specific details regarding these plans, along with their respective pricing, can be found on our pricing page. Unless otherwise indicated, fees are quoted in United States Dollars.

Subscription Plans: DeepFabric provides a variety of subscription tiers, each tier catering to a different level of productivity needs. These tiers include options for individual users, teams, and larger organizations. Each tier includes access to a variety of our productivity tools such as project management, note-taking, calendaring functionality, and many more.

Pricing and Renewals: The fees for your Subscription will be billed from the date you convert to a paid Subscription and on each renewal date thereafter unless and until you cancel your Subscription. We will automatically bill your payment method each period on the calendar day corresponding to the commencement of your Subscription. All fees paid are non-refundable.

Payment Terms: We accept payments through various methods, including credit cards and other payment methods as indicated on our payment page. It's important to keep your payment information up to date to avoid interruptions to your service.

Price Changes: DeepFabric reserves the right to adjust pricing for our service or any components thereof in any manner and at any time. Any price changes will take effect following email notice to you.

13. Integration with Third-Party Services

Our platform, DeepFabric, is designed to integrate seamlessly with a variety of third-party services for enhanced productivity. While we strive to offer you an enriched and integrated user experience, it's important to note that your interaction with these third-party services is governed by their respective terms and conditions and privacy policies.

Third-Party Services: The DeepFabric platform can be used in conjunction with a range of external services. These third-party services may include, but are not limited to, email platforms, cloud storage services, social media platforms, payment gateways, and more.

Terms & Privacy Policies: While these integrations are part of providing an optimal user experience, your use of these third-party services is dictated by their individual terms and conditions as well as privacy policies. The T&C and Privacy Policy of DeepFabric do not apply to your use of such services.

User Responsibility: As a user, it is your responsibility to read and understand the privacy policies and terms of service of any third-party service you choose to use in conjunction with our platform. DeepFabric is not responsible for any actions taken or content shared within these third-party services.

Disclaimer: DeepFabric does not endorse, is not responsible for, and makes no representations as to the third-party services, their content, or the manner in which they handle your data. Your interactions with these services are solely between you and the respective third-party service.

By integrating or using any third-party services with our platform, you acknowledge and agree to the above terms.

14. Data Security

At DeepFabric, we prioritize your data's security and treat it with utmost importance. While we employ advanced security measures to safeguard your data, it's important to clarify the extent and limitations of our responsibility.

Security Measures: We use a variety of industry-standard technologies and services to secure your data from unauthorized access, use, or disclosure. These measures could include, but are not limited to, encryption, firewalls, and secure socket layer technology. However, please be aware that no method of transmission over the internet, or method of electronic storage, is 100% secure. Therefore, while we strive to use commercially acceptable means to protect your data, we cannot guarantee its absolute security.

Data Breach: In case of a data breach, we will follow all required laws and regulations to inform the affected users. We also commit to take necessary steps to mitigate the effects of the breach as much as we can. However, we cannot be held responsible for any damage or losses resulting from such breaches.

User Responsibility: You are responsible for maintaining the confidentiality of your login credentials for our platform. If you suspect any unauthorized use of your account, please notify us immediately. DeepFabric will not be held accountable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge.

Third-Party Services: If you choose to use third-party integrations, the security and treatment of the data shared with these third-party services are governed by their respective privacy policies and security measures. We are not responsible for the security measures employed by these third-party services.

By using our services, you acknowledge that you understand and agree to assume these responsibilities and risks.

15. Limitation of Liability and Disclaimer of Warranties

No Warranties: The Services provided by DeepFabric are available “as is” and “as available”, without any kind of warranty, either express or implied. We expressly disclaim all warranties of any kind, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranty that our Services will meet your requirements, be safe, secure, uninterrupted, timely, accurate, or error-free, or that your information will be secure.

Limitation of Liability: In no event shall DeepFabric, its officers, directors, employees, or agents, be liable to you or to any third party for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever, whether based on warranty, contract, tort, or any other legal theory, and whether or not the company is advised of the possibility of such damages, resulting from the use or the inability to use the Services; any unauthorized access to or alteration of your transmissions or data; any information that is sent or received or not sent or received; any failure to store or loss of data, files, or other content; any services available through the Services that are delayed or interrupted; or any web site referenced or linked to or from the services.

Indemnification: You agree to indemnify, defend, and hold harmless DeepFabric, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected to your access to or use of the Services or your violation of these Terms.

Essential Purpose: The essential purpose of this section is to limit the potential liability of DeepFabric arising out of these Terms. Consequently, the limitations of liability provided in this section shall survive any termination or expiration of these Terms and apply even if any limited remedy specified herein is found to have failed its essential purpose.

Your use of the Services is at your own discretion and risk, and you will be solely responsible for any damage that results from the use of any Services including, but not limited to, any damage to your computer system or loss of data.

16. Termination

At DeepFabric, we reserve the right to terminate or suspend your account and restrict access to our Services, without any prior notice or liability, at our sole discretion. This could be for any reason, and without limitation, including a breach of these Terms.

As a user, you are free to delete your Personal Workspace(s) at any time through our account management page. On your request to delete a Personal Workspace, all related Content will become immediately inaccessible. After a period of 30 days, this User Content will be deleted from our servers and will be irretrievable. Similarly, if you choose to delete some (but not all) of your User Content designated as private on your Personal Workspace, after 30 days, such User Content will also be removed from our servers and will no longer be recoverable. Please be aware and agree that any User Content that has been transferred to an Organizational Workspace will be retained in that Organizational Workspace, even after termination of your Personal Workspace.

17. Indemnification

As a user of DeepFabric, you agree to defend, indemnify, and hold harmless DeepFabric, its licensees and licensors, as well as their employees, contractors, agents, officers, and directors, from and against any claims, damages, obligations, losses, liabilities, costs or debt, and expenses, which include but are not limited to attorney's fees. These can result from or arise out of your use and access of the Service (either by you or any person using your account and password), a breach of these Terms, or from your User Content provided to the Service.

18. Dispute Resolution and Governing Law

These Terms and any action related thereto will be governed by the laws of the State of Texas without regard to its conflict of laws provisions. Any disputes that might arise between DeepFabric and you shall be settled by means of arbitration in the State of Texas. The arbitration will be conducted in English, on an individual basis and not in a class, consolidated or representative action. An impartial arbitrator will be selected for the process whose decision will be final except for a limited right of appeal under the Federal Arbitration Act. You also acknowledge and understand that you are waiving your right to sue or go to court to assert or defend your rights under these Terms.

19. California Residents

If you are a resident of California, as per Cal. Civ. Code § 1789.3, you have the right to report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs. You can get in touch with them in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or you can contact them via telephone at (800) 952-5210.

20. Waiver

Our lack of enforcement of any right or provision of these Terms does not imply a waiver of such rights or provisions. If any provision within these Terms is deemed to be invalid or unenforceable by a court of law, the remainder of the provisions will continue to be valid and enforceable.

21. Entire Agreement
